Welcome to the terms of use for the Amazon MGM Studios Production Portal Site ( the "Program Site"). Amazon Studios LLC, and/or its affiliates ("Amazon" or "us") provide the Program Site to you (if using or registering as an individual) or the entity you represent (if using or registering as a business) ("you") subject to the following terms of use ("Terms of Use") in connection with your use of the Program Site. By visiting a Program Site or registering as a user of a Program Site, you accept the Terms of Use and represent that you have the authority to bind yourself or the company you represent to the Terms of Use. Please read these Terms of Use carefully, together with the Privacy Notice  and all other rules and policies related to such Program Site. By using the Program Site, you confirm that you are at least 18 years old (or the age of majority where you reside, whichever is older).

Changes to these Terms of Use and the Program Site

We may in our discretion make changes to these Terms of Use without notice to you. You are responsible for reviewing the revised Terms of Use and/or any applicable postings. CONTINUED USE OF OR ACCESS TO THE PROGRAM SITE AFTER SUCH CHANGES OR POSTINGS WILL CONSTITUTE YOUR ACCEPTANCE OF THE CHANGES OR POSTINGS. We may change the Program Site or delete any content, features or functionality, or any aspect of the Program Site, in any way at any time for any reason.

Copyright

All content included in or made available through the Program Site, such as text, graphics, logos, images, audio clips, digital downloads and software is the property of Amazon or its content suppliers and protected by United States and international copyright laws. The compilation of all content included in or made available through Amazon is the exclusive property of Amazon and protected by U.S. and international copyright laws.

Trademarks

("MGM") trademarks, as well as all other graphics, logos, page headers, button icons, scripts, and service names included in or made available through the Program Site are trademarks or trade dress of Amazon in the U.S. and other countries. Amazon's trademarks and trade dress may not be used in connection with any product or service that is not Amazon's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Amazon. All other trademarks not owned by Amazon that appear in any Amazon Program Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Amazon.

License and Access

Subject to your compliance with these Terms of Use and any Program Site terms, Amazon or its content providers grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal use of the Program Site. This license does not include any resale or commercial use of the Program Site or its contents; any derivative use of the Program Site or its contents; any downloading, copying, or other use of Account information for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools. In addition, portions of the Program Site may require an Account (as defined below) and accessing these portions and using any content available only to those with an Account is a material breach of these Terms of Use.  All rights not expressly granted to you in these Terms of Use are reserved and retained by Amazon or its licensors, suppliers, publishers, rightsholders, or other content providers. No any part of the Program Site may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Amazon. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Amazon without express written consent. You may not use any meta tags or any other "hidden text" utilizing Amazon's name or trademarks without the express written consent of Amazon. You may not misuse the Program Site. You may use the Program Site only as permitted by law. The licenses granted by Amazon terminate if you do not comply with these Terms of Use or any Program Site terms.

No Unauthorized, Unlawful or Harmful Use of the Program Site

The Program Site is only for your use or the use of those authorized by you to access the Program Site on your behalf and you are only authorized to use it in connection with providing services to an Amazon Studios Original or receiving services that may be offered on the Program Site. Amazon grants you a limited, revocable license to access and use the Program Site for the above purposes. You may not use the Program Site for any other commercial or non-commercial purposes or in any way that:

  1. Is unlawful or harms Amazon, its customers, suppliers or other parties, as determined in Amazon’s sole discretion.
  2. Breaches any agreement, policy or other notice applicable or related to the Program Site.
  3. Could damage, disable, overburden, or impair the Program Site (or any network(s) connected to the Program Site) or interfere with any other party’s use of the Program Site.
  4. Could lead to identification of individual Amazon customers or to the creation, use, or disclosure of information about individual Amazon customers.

Communications Monitoring

You acknowledge that we may communicate with you via email or by posting notices on the Program Site. You agree that all agreements, notices, disclosures and any other communications that we provide to you electronically satisfy any legal requirements that such communications be in writing. To the maximum extent permitted by applicable law, Amazon may monitor any electronic communications you make in connection with the Program Site and may disclose such information in the event it has a good faith reason to believe it is necessary for purposes of ensuring your compliance with these Terms of Use, and protecting the rights, property, and interests of Amazon or any third party.

No Warranties

AMAZON PROVIDES THE PROGRAM SITE "AS IS," "WITH ALL FAULTS" AND "AS AVAILABLE." YOU EXPRESSLY AGREE THAT USE OF THE PROGRAM SITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AMAZON MAKES NO REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE PROGRAM SITE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED ON THE PROGRAM SITE AND DISCLAIMS ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS, STATUTORY AND IMPLIED, INCLUDING WITHOUT LIMITATION (1) WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY, TITLE, QUIET ENJOYMENT, NO ENCUMBRANCES, NO LIENS AND NON-INFRINGEMENT, (2) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OF TRADE, AND (3) WARRANTIES OR CONDITIONS THAT ACCESS TO OR USE OF THE PROGRAM SITE WILL BE UNINTERRUPTED OR ERROR-FREE. AMAZON DOES NOT WARRANT THAT THE PROGRAM SITE, ITS SERVERS OR E-MAILS SENT ARE ERROR-FREE, WILL OPERATE WITHOUT INTERRUPTIONS OR DOWNTIME, OR ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

IN NO EVENT WILL AMAZON BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, LOST PROFITS, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM THESE TERMS OF USE OR YOUR USE OF THE PROGRAM SITE, EVEN IF AMAZON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (1) BREACH OF CONTRACT, (2) BREACH OF WARRANTY, (3) NEGLIGENCE, OR (4) ANY OTHER CAUSE OF ACTION, TO THE EXTENT SUCH EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. WITHOUT LIMITING THE GENERALITY OF THE PRECEDING SECTIONS, YOU ACKNOWLEDGE AND AGREE THAT AMAZON IS NOT RESPONSIBLE OR LIABLE FOR (1) ANY THIRD PARTY CONDUCT, TRANSMISSIONS OR DATA; (2) ANY VIRUSES OR OTHER DISABLING FEATURES THAT AFFECT YOUR ACCESS TO OR USE OF ANY PROGRAM SITE; (3) ANY INCOMPATIBILITY BETWEEN A PROGRAM SITE, SERVICES, SOFTWARE AND HARDWARE; OR (4) ANY DELAYS OR FAILURES YOU MAY EXPERIENCE IN INITIATING, CONDUCTING OR COMPLETING ANY TRANSMISSIONS OR TRANSACTIONS IN CONNECTION WITH A PROGRAM SITE. THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THESE TERMS OF USE APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Indemnification

You release us and will indemnify, defend and hold harmless Amazon and its affiliates, and their respective officers, directors, employees, and agents against any claim, loss, damage, settlement, cost, expense or other liability (including, without limitation, attorneys’ fees) arising from or related to your breach of any representation or warranty or other obligation contained in these Terms of Use. You will use counsel reasonably satisfactory to us to defend each Claim. If at any time we reasonably determine that any Claim might adversely affect us, we may take control of the defense at our expense. You may not consent to the entry of any judgment or enter into any settlement without our prior written consent, which may not be unreasonably withheld.

Termination; Access Restriction

Amazon may terminate these Terms of Use, or terminate or suspend your access to the Program Site at any time with or without cause. Upon any termination or suspension of these Terms of Use, your right to use the Program Site will cease immediately, and you will not be able to retrieve any information related to your Account. All provisions that reasonably may be construed as surviving these Terms of Use will survive the expiration or termination of these Terms of Use.

Disputes

Any dispute or claim relating in any way to your use of any Program Site will be adjudicated in the state or Federal courts in King County, Washington, and you consent to exclusive jurisdiction and venue in these courts. We each waive any right to a jury trial.

Applicable Law

By using the Program Site, you agree that applicable federal law, and the laws of the state of Washington, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and Amazon.

Interpreting the Terms; Assignment

If any part of these Terms of Use are determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of these Terms of Use will continue in effect. Amazon may assign these Terms of Use, in whole or in part, at any time without notice to you. You may not assign these Terms of Use, or assign, transfer or sublicense your rights, if any, in the Program Site. The section titles are solely used for the convenience of the parties and have no legal or contractual significance.

Copyright Complaints

Amazon respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our copyright agent the written information specified below. Please note that this procedure is exclusively for notifying Amazon that your copyrighted material has been infringed.

  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
  • A description of the copyrighted work that you claim has been infringed upon;
  • A description of where the material that you claim is infringing is located on the Site;
  • Your address, telephone number, and e-mail address; A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

Your Account; Changes to Account Settings; User Permissions

If you are permitted to use an Account to use the Portal Site (“Account”), you are responsible for maintaining the confidentiality of your Account and password and for restricting access to your computer. You agree that you are responsible for all activities that occur under your Account or password, including all activities that occur under any user name you grant access to your Account. You will ensure that all users granted access to your Account comply with these Terms of Use, together with all other rules and policies related to the Program Site in use. If you make changes to your settings or user permissions within a Program Site, it may take some time for our system to process the change and you acknowledge that those changes may not take effect immediately.

Confidentiality and Publicity.

An Account will give you access to Amazon Confidential Information. You may use Amazon Confidential Information only in connection with your use of the Program Site as permitted under these Terms of Use. You will not disclose Amazon Confidential Information at any time. You will take all reasonable measures to avoid disclosure, dissemination or unauthorized use of Amazon Confidential Information, including, at a minimum, those measures you take to protect your own confidential information of a similar nature. You will not issue any press release or make any other public communication with respect to these Terms of Use or your use of the Program Site. “Amazon Confidential Information” means all nonpublic information disclosed by us, our affiliates, business partners, or our or their respective employees, contractors or agents that is designated as confidential or that, given the nature of the information or circumstances surrounding its disclosure, reasonably should be understood to be confidential. Amazon Confidential Information includes: (a) nonpublic information relating to our or our affiliates or business partners’ technology, customers, business plans, promotional and marketing activities, finances and other business affairs; (b) third-party information that we are obligated to keep confidential; and (c) the nature, content and existence of any discussions or negotiations between you and us or our affiliates. Amazon Confidential Information does not include any information that: (i) is or becomes publicly available without breach of these Terms of Use; (ii) can be shown by documentation to have been known to you at the time of your receipt from us; (iii) is received from a third party who did not acquire or disclose the same by a wrongful or tortious act; or (iv) can be shown by documentation to have been independently developed by you without reference to the Amazon Confidential Information.

OTHER BUSINESSES

We may provide links to information of unaffiliated companies and certain other businesses. If you purchase any of the products or services offered by these businesses or individuals, you are purchasing directly from those third parties, not from Amazon. We do not warrant the offerings of any of these businesses or individuals. Amazon does not assume any responsibility or liability for the actions, product, and content of all these and any other third parties.
